The name of this organization shall be the "Rotary eClub of District 7890".
The territorial limits of this club shall be within those countries where RI has established districts.
The Object of Rotary is to encourage and foster the ideal of service as a basis of worthy enterprise and, in particular, to encourage and foster:
The club shall utilize electronic communication (including the Web and related technologies) to provide for the presentation and participative discussion of appropriate topics and materials, as further specified in the Bylaws.
The club shall be composed of adult persons of good character and of good business, occupational or professional reputation.
Persons who reside within, or have business addresses within, the territorial limits of the Club may be elected to membership without further qualification. Members may be from outside the territorial limits of District 7890.
Active members shall be elected by the Board of Directors upon nomination by one or more active members of the club. An active member must show that he or she for good reason cannot regularly attend meetings of a Rotary club that holds scheduled face-to-face meetings.
No one may hold active membership in both this club and in another Rotary club.
5.1 - A person who has served with merit and distinction in the furtherance of Rotary ideals may be elected to honorary membership in this club for a specified period of time by action of the Board of Directors.
5.2 - An honorary member shall be exempt from the payment of admission fees and dues. An honorary member may not vote for club officers or Directors or on any matter to be voted on by the club. An honorary member may not be an officer or Director of this club. An honorary member may participate in such activities of this club as the honorary member may choose. Honorary membership in this club does not by itself entitle the honorary member to any rights or privileges in any other club.
6.1 - A member of another Rotary club may, upon request, be designated a correspondent of this club for a specified period of time by action of the Board of Directors.
6.2 - A correspondent may participate in the meeting activities of the club on the same basis as members of this club, and may participate in committee activities if invited to do so by the committee chair.
6.3 - A correspondent is not a member of this club, and accordingly shall be exempt from the payment of dues to this club.
Every active member of this club is expected to participate in the meetings and activities of the club. This excludes the non-mandatory social meetings that may be held. A member must participate in a MINIMUM of 60% of the meetings and activities to remain in good standing in the club. A member will be counted as participating in an activity if the member assists in developing the activity and/or enters into a discussion within the club dealing with that activity.
Every active member of this club is expected to engage in at least ten hours of Rotary Service each quarter in addition to participating in the club's meetings and activities. Rotary Service is defined as activity falling within one or more of the four avenues of Rotary service. The Board of Directors shall approve specific Rotary Service activities, either upon recommendation of club committees, or upon request of individual club members. The Board of Directors may count exceptional cases of service as applying to the Rotary Service requirement for more than one quarter.
If a member attends a regular meeting of another Rotary club, that attendance may be counted either as one meeting's participation or as one hour of the member's Rotary Service.
A member who is unable for good reason to participate in the activities of the club for an extended period of time may request a leave of absence from the Board of Directors for that period of time, as specified in the bylaws.
All officers must be active members of the club. Each officer shall serve a term of two years, beginning on July 1.
The elective officers of the club shall be a President, a President-elect, a Secretary and a Treasurer. One person may hold the offices of Secretary and Treasurer simultaneously, if so elected by the club. No one may be elected to a term as President after having served as President unless a period of at least four years has elapsed between the conclusion of service as President and the time of beginning a succeeding term as President.
The President shall appoint an Web Service Officer, who shall be an officer of the club. The appointment shall be subject to ratification by the Board of Directors.
There may be up to three elected Directors, each of whom shall serve a term of two years.
The officers and Directors together shall compose the Board of Directors of the club, which shall have general oversight over the activities of the club.
One activity conducted before December 31 of each year shall include election of officers and Directors for terms beginning on the following July 1, as provided in the Bylaws of the club.
The club may assess an admission fee in an amount determined by the Board of Directors.
The club may assess dues in an amount and on a schedule determined by the Board of Directors, provided the amount of the dues is sufficient to provide for at least the required per capita payments to Rotary District 7890 and Rotary International and for a member's subscription to The Rotarian magazine.
A member may resign from membership in the club at any time by sending written notice of resignation to the Secretary of the club. The effective date of resignation shall be the date on which the notice is received by the Secretary, or a date specified by the member, whichever is later.
The membership of a member may be terminated by the Board of Directors if the member is delinquent in payment of dues to the club and does not remove the delinquency promptly upon written notice from the Treasurer.
The membership of a member may be terminated by the Board of Directors if the member does not meet the requirements of participation in club meetings and/or in Rotary Service expected of members of the club, provided the member, having been notified by the Board of Directors of the failure to meet the requirements, does not take effective action to meet them.
The membership of a member may be terminated by the Board of Directors if the Board finds the conduct of the member during meetings to be detrimental to the club, and the member does not correct that conduct after having been notified by the Board of Directors of the particulars of the detrimental conduct.
Since the Object of Rotary includes the advancement of international understanding, the club may appropriately discuss in its meetings issues bearing on national and international matters. However, the club shall not conduct partisan political discussions nor shall the club endorse any candidate for political office, nor allow an active candidate for political office to participate in a club meeting or discussion.
Disputes among members (including former members) arising from differing interpretations of the constitution and Bylaws of the club shall be settled by requesting a ruling from the Board of Directors. Should that ruling not be accepted, the dispute shall be settled by binding arbitration under procedures specified in the model club constitution published by Rotary International.
The club may adopt Bylaws for the further governance of the club, provided such Bylaws are not inconsistent with this constitution or the requirements of Rotary District 7890 or of Rotary International applicable to this club.
Any member of the club may propose an amendment to this constitution to the Board of Directors at any time. The proposing member shall provide a rationale for the proposed amendment.
Upon receiving a proposed amendment the Board of Directors shall consider the substance and wording of the proposed amendment and consult a Representative of Rotary International as needed. If the Rotary Representative raises no objection, the Board may provide, if it wishes, an alternative wording, and shall give notice to the club of the proposed amendment, the wordings of the proposer and of the board, the rationale of the proposer and any comments the board may wish to make on the proposed amendment.
Each member of the club may vote on the proposed amendment and wordings within one week after having received the notice from the Board of Directors. Voting may be by written ballot or by electronic means.
Adoption of an amendment requires an affirmative vote of at least two-thirds of the total active members of the club.
